Terms of Service

1. Acceptance of Terms

By accessing or using HireStaq ("the Service"), operated by Revivesoft LLC ("Company," "we," "us," or "our"), you ("User") agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you must immediately cease use of the Service.

By clicking "Create account" or otherwise accessing the Service, you represent that you have read, understood, and agreed to these Terms and our Privacy Policy.

2. Description of Service

HireStaq is a web-based AI-powered resume screening and candidate ranking platform that enables recruiters and hiring teams to screen resumes against job requirements, rank candidates by fit, maintain persistent candidate profiles, collaborate with team members, and manage hiring pipelines. The Service is provided "as is" and may be modified, suspended, or discontinued at any time.

3. Eligibility

You must be at least 16 years of age to use the Service. By using the Service, you represent that you meet this age requirement and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

4. Account Registration and Security

To access the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain the accuracy of your account information
• Keep your password confidential and not share it with any third party
• Notify us immediately of any unauthorized use of your account
• Accept responsibility for all activity that occurs under your account

We reserve the right to terminate accounts, remove content, or refuse service at our sole discretion. You may not create multiple accounts to circumvent plan limits or restrictions.

5. User Content and Candidate Data

You retain ownership of all content you upload or create through the Service, including resumes, job postings, screening criteria, and candidate notes ("User Content").

By using the Service, you grant Revivesoft LLC a limited, non-exclusive, royalty-free, worldwide license to process, store, reproduce, and transmit your User Content solely as necessary to provide the Service to you. This license terminates when you delete the content or close your account.

Candidate Data Responsibility: You represent and warrant that: (a) you have obtained all necessary consents, permissions, and legal authority to upload and process candidate personal data (including resumes) through the Service; (b) your use of candidate data complies with all applicable employment, data protection, and equal opportunity laws; and (c) you will not use the Service to make employment decisions based on protected characteristics in violation of applicable law.

Feedback: If you submit feedback, ideas, or suggestions about the Service, you grant us an irrevocable, perpetual, royalty-free license to use and incorporate such feedback without obligation or compensation to you.

6. AI-Generated Screening Results

The Service uses third-party AI models (including OpenAI and Anthropic) to generate screening analysis, compatibility scores, and candidate rankings ("AI-Generated Content"). All results, scores, and rankings are entirely AI-driven.

• AI-Generated Content is provided as decision-support only and does not constitute professional HR advice or a recommendation to hire or reject any candidate.
• You are solely responsible for reviewing, verifying, and acting on AI-Generated Content. Human judgment must be applied to all hiring decisions.
• We make no warranty that AI-Generated Content is accurate, complete, or free from bias. AI models may reflect biases present in training data.
• Compatibility scores and rankings are AI-generated estimates only and do not guarantee any candidate's suitability for a role.
• We are not liable for any employment decisions, legal liability, or harm arising from your use of AI-Generated Content.

REVIVESOFT LLC ACCEPTS NO RESPONSIBILITY WHATSOEVER FOR THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY AI-GENERATED SCREENING RESULTS. All AI outputs are provided on an "as is" basis. Your use of AI-Generated Content is entirely at your own risk.

7. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law or regulation
• Use the Service to discriminate against candidates on the basis of any protected characteristic
• Upload candidate data without proper consent or legal authority
• Attempt to gain unauthorized access to any part of the Service or its infrastructure
• Interfere with, disrupt, or degrade the performance of the Service
• Use automated scripts, bots, or scrapers to access the Service without prior written permission
• Circumvent, bypass, or defeat any rate limits, usage restrictions, or access controls
• Reverse engineer, decompile, or disassemble any part of the Service
• Resell, sublicense, or provide access to the Service to third parties without authorization
• Use the Service to develop competing products or services
• Transmit viruses, malware, or any harmful code

8. Subscription, Payments, and Refunds

Certain features require a paid subscription. By subscribing, you agree to the following:

• Payments are processed by Stripe, our third-party payment processor.
• Subscriptions automatically renew at the end of each billing period unless cancelled.
• You may cancel your subscription at any time through the billing portal; cancellation takes effect at the end of the current billing period.
• We reserve the right to modify pricing with at least 14 days' advance notice to existing subscribers.
• Refunds are not provided for partial billing periods or unused features, except where required by applicable law.
• We reserve the right to modify, limit, or discontinue plan features with reasonable notice.

If you believe you have been charged in error, contact us at support@hirestaq.com within 30 days of the charge.

9. Intellectual Property

All content, features, software, designs, trademarks, and technology comprising the Service (excluding User Content) are owned by Revivesoft LLC or its licensors and are protected by applicable intellectual property laws. "HireStaq" and the HireStaq logo are trademarks of Revivesoft LLC. Unauthorized use is prohibited.

10. Service Availability and Modifications

We strive to maintain high availability but do not guarantee uninterrupted or error-free access. We may modify, suspend, or discontinue any feature or the entire Service, with or without notice, and are not liable to you for any such action.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. To the fullest extent permitted by applicable law, Revivesoft LLC disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, and any warranty regarding the accuracy of AI-generated screening results.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, REVIVESOFT LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, including loss of profits, data, or business opportunities, damages arising from reliance on AI-generated screening results, or damages from unauthorized account access.

Our total cumulative liability to you shall not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) USD $50.

13. Indemnification

You agree to indemnify and hold harmless Revivesoft LLC and its officers, directors, members, employees, and agents from any claims, liabilities, damages, or expenses arising out of your use of the Service, your User Content, your violation of these Terms, or your violation of any applicable law — including any claims arising from your processing of candidate personal data.

14. Termination

We may terminate or suspend your access immediately, without prior notice, for any reason including breach of these Terms. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination (including Sections 5, 9, 11, 12, 13, 15, and 16) shall survive.

15. Dispute Resolution

Before initiating any formal dispute, you agree to contact us at support@hirestaq.com and attempt to resolve the dispute informally for at least 30 days. If informal resolution fails, disputes shall be resolved by binding arbitration under AAA rules. You waive any right to participate in class-action lawsuits or class-wide arbitration.

16. Governing Law

These Terms are governed by the laws of the State of Delaware, United States. For claims not subject to arbitration, you consent to the exclusive jurisdiction of courts located in Delaware. EU/UK consumers retain the protection of mandatory consumer laws in their country of residence.

17. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms with a revised "Last updated" date. Your continued use of the Service after the effective date constitutes acceptance of the changes.
